1. Overview
These Terms & Conditions (“Terms”) govern all sales and transactions between Kanan General Group LLC OPC (“KGG,” “we,” “us,” “our”) and the buyer (“you,” “your”) through our B2B wholesale platform adkgg.com. By placing an order with us, you agree to these Terms in full.

2. B2B Nature of Transactions
All transactions on adkgg.com are conducted on a Business-to-Business (B2B) basis. Products are intended for resale, commercial use, or institutional purposes only. Consumer protection laws for retail sales do not apply.

3. Orders & Acceptance

  • All orders are subject to availability and acceptance by KGG.
  • KGG reserves the right to reject or cancel orders at our sole discretion.
  • Orders are confirmed only upon receipt of the required deposit or full payment (as specified in the invoice).

4. Pricing & Payment

  • Prices are listed in SAR, AED, and USD exclusive of applicable taxes, duties, and shipping fees unless stated otherwise.
  • Payment terms are stated on each invoice. A standard payment structure requires a 50% deposit upon order confirmation and the remaining 50% prior to shipment departure, unless otherwise agreed in writing.
  • All bank charges, currency conversion costs, and transaction fees are the responsibility of the buyer.

5. Lead Time & Dispatch

  • Estimated lead times are provided for reference and may vary due to stock availability, customs procedures, and other operational factors.
  • KGG is not liable for delays caused by carriers, customs clearance, or force majeure events.

6. Product Specifications & Shelf Life

  • Product details, specifications, and shelf-life information are available on product listings.
  • Buyers must verify that products meet their market’s regulatory and quality requirements prior to purchase.
  • For near-expiry or discounted stock, shelf-life dates are clearly stated, and such sales are final.

7. Returns & Refunds

  • All sales are final unless covered by our Return & Refund Policy for damaged, incorrect, or defective products.
  • Buyer’s remorse, overstock, or change in business needs are not grounds for returns or refunds.

8. Limitation of Liability
KGG’s liability for any claim related to an order is limited to the purchase price of the affected products. KGG is not responsible for indirect, incidental, or consequential damages.

9. Governing Law & Jurisdiction
These Terms are governed by the laws of the United Arab Emirates, and any disputes shall be settled in the competent courts of Abu Dhabi.
